Sorbit Terms of Use
Effective Date: 1 June 2026
Welcome to Sorbit. These Terms of Use ("Terms") govern your access to and use of the Sorbit AI-powered learning platform (the "Service"), provided by Sorbit Ltd, a company registered in England and Wales. By accessing or using the Service you agree to be bound by these Terms.
These Terms work alongside our Privacy Notice.
1. The Sorbit Ecosystem: Roles and Contexts
Sorbit operates as a multi-role platform. A single user identity may interact in different contexts, each with different features and commercial terms. The context-specific terms are set out in the Annexes under §7.
- School Context: Using Sorbit through an educational institution. The School is the Data Controller; Sorbit acts as Data Processor on the School's instructions. Use is also subject to the School's own policies.
- Consumer Context: Using Sorbit via a personal or parental subscription. Sorbit is the Data Controller.
- Creator Context: Publishing paid courses on the Sorbit marketplace. See Annex D.
- Expert Context: Performing paid evaluation work for Sorbit. See Annex E.
- Corporate Context: An organisation (non-school) with a bespoke contract with Sorbit. See Annex C.
- Guest Purchaser Context: Buying a course without creating an account. See Annex F.
2. User Eligibility and Age
- Accessibility: There is no minimum age to use Sorbit in the School Context, where the School is responsible for age-appropriate access.
- School-Onboarded Users: Students joined via a School invitation are not required to provide a Date of Birth; the School warrants that it has obtained any necessary consent for student participation.
- Under 13 in the Consumer Context: Sorbit is not directed at children under the age of 13 outside a School Context. Consumer registration under 13 requires a Parent or Guardian email. We do not knowingly permit children under 13 to use the Service without parental or guardian involvement; if we become aware that a child under 13 has registered without appropriate consent, we will close the account and delete the associated data. Parents or guardians who believe their child has used the Service without their consent should contact enquiries@sorbit.co.uk.
3. Intellectual Property and Community License
- Platform ownership: Sorbit owns all rights in the platform itself, including our software, AI prompts, branding, and the look and feel of the Service.
- Your content: You retain ownership of the content you create on the Service — conversations, templates, assignments, and course content.
- Service licence to us: By using the Service you grant Sorbit a worldwide, royalty-free licence to host, process, and display your content as necessary to operate the Service, and to use anonymised copies for model evaluation and Service improvement.
- Community / Forking Licence: If you explicitly set a template, assignment, or course to "Public" or "Community" status, you additionally grant Sorbit and other Sorbit users a non-exclusive, royalty-free, worldwide licence to copy, adapt, and create derivative versions of that content for educational use within the platform. This licence survives your account deletion for any copies already made.
- Paid Creator content: Course content published by Creators under Annex D is licensed, not sold, to learners who purchase access. See Annex D for details.
4. Data Visibility and Transparency
- Parental visibility: The Service includes an opt-in feature allowing linked Parent accounts to view Student activity.
- School visibility: In the School Context, the School retains discretion over whether this feature is enabled, consistent with its own safeguarding obligations.
- Public profiles: Your public learner profile is private by default; see the Privacy Notice §18.
5. Acceptable Use
You must not use the Service to:
- Submit content that is unlawful, abusive, harassing, defamatory, discriminatory, or that infringes anyone's rights.
- Attempt to jailbreak, reverse-engineer, decompile, or disrupt the Service or its AI models.
- Use third-party AI or automated scripts to interact with the Service on your behalf. Human interaction is the point.
- Commit academic dishonesty, including misrepresenting AI-generated or copied work as your own.
- Circumvent rate limits, subscription gating, or payment systems.
- Attempt to re-identify other users whose content has been shared with you in de-identified form (for example, as an Expert reviewer).
Breach of this section may lead to suspension or termination of your account under §9, and — for paid accounts — without a refund of unused time or balance.
6. Integrity and Anti-Cheat
To preserve the pedagogical value of the Service and the integrity of any scoring or qualifications, Sorbit records short-lived behavioural signals from your learning sessions (paste events, tab-switch events, typing cadence, response-speed anomalies) and derives a per-session suspicion score and a rolling integrity profile. For detail on what is collected, retained, and your rights, see the Privacy Notice §16.
In addition, Sorbit provides a proprietary "Academic Honesty" score as a pedagogical tool to help educators understand student engagement. It is not a definitive legal or disciplinary judgment, and it does not replace professional educator judgment.
Enforcement action (session invalidation, reporting to a School, or account suspension) is taken only after human review by a Sorbit administrator.
7. Commercial Terms (Annexes)
Annex A — Parent and Consumer Subscriptions (B2C)
- Billing: Recurring monthly or annual fees as shown on the Sorbit website. Processed by Stripe.
- Cooling-off: As a UK consumer you have a 14-day right to cancel. For digital services, this right is lost once the Service has started with your consent. By allowing the account to be used before the 14 days expire, you consent to Service starting and waive the cooling-off right.
- Cancellation: You may cancel at any time in Settings. Access continues until the end of the current billing period; no partial refunds.
- Price adjustments: Sorbit may change consumer pricing with at least 30 days' notice by email.
- Statutory rights: Nothing in this Annex limits your non-excludable rights under the Consumer Rights Act 2015.
Annex B — School Agreements (B2B)
- Term: 12-month initial term, auto-renewing.
- Price adjustments: At least 60 days' written notice before the end of the current term.
- Termination: 30 days' notice, subject to a cancellation fee equivalent to two months of contract value.
- Data processing: Governed by the Data Processing Agreement (DPA) entered into between Sorbit and the School.
Annex C — Corporate / Organisation Customers
- Individual contract: Corporate and non-school organisation customers operate under an individual contract signed between Sorbit and the customer. Those contract terms take precedence over these Annexes where they differ.
- These Terms apply where the contract is silent.
- Data retention on termination: governed by the individual contract; in the absence of specific terms, we apply the same 30 / 90-day deletion cycle as Schools.
Annex D — Course Creators
- Who this applies to: users who publish paid courses on the Sorbit marketplace.
- Platform fee: Sorbit charges a platform fee of 15% of the gross sale price. Creators receive 85% of gross, before their own taxes and costs.
- Minimum price: When you publish a course, Sorbit calculates a minimum price based on expected AI infrastructure costs per student completion. You may set any price at or above the minimum. Sorbit may adjust the minimum from time to time as underlying costs change; existing published prices are not affected until you re-publish.
- Seller of record: The Creator is the seller of record to the buyer of the course. Sorbit acts as a marketplace facilitator and payment processor.
- Tax: The Creator is responsible for their own tax position, including VAT registration and remittance where applicable. Sorbit does not withhold tax, issue tax invoices on the Creator's behalf, or advise on tax treatment.
- Payouts: Earnings are paid via Stripe Connect Express accounts owned by the Creator. Payouts are batched periodically, typically monthly, at Sorbit's discretion.
- Content warranties: You warrant that you own or have the right to use all content you upload, and that your content does not infringe any third-party rights. You will indemnify Sorbit for third-party claims arising from your content.
- Licence to learners: When a buyer purchases your course, they receive a non-exclusive, non-transferable licence to use it through the Service for their personal educational purposes. You retain ownership of the underlying content.
- Takedown and removal: Sorbit may remove a course that breaches these Terms, applicable law, or a third-party rights claim, with written notice where reasonably practicable. Pending sale revenue for a removed course is paid to the Creator on the next batch unless the breach was a content-rights violation giving rise to refund liability, in which case the refund is deducted from the Creator's balance.
- Refunds and chargebacks: Where a buyer is granted a refund or initiates a chargeback, the associated revenue (including the Creator's 85%) is reversed from the Creator's balance.
Annex E — Experts
- Who this applies to: users accepted into the Sorbit Expert panel to perform paid evaluation, calibration, and content-review work.
- Self-employed status: Experts are independent contractors, not employees of Sorbit. Nothing in this Annex creates a contract of employment, partnership, or agency.
- Compensation: Per-task pay based on a published rate (default £5 per task). Time spent per task is capped at 20 minutes for compensation purposes; additional time is not paid. Rates may vary by campaign and will be shown before you accept a task.
- Payouts: Paid via a Stripe Connect Express account owned by the Expert. Batched periodically, typically monthly, at Sorbit's discretion.
- Earnings statements: Experts access their earnings records, tax documents, and payout history through the Stripe Express dashboard linked from the Sorbit app. Sorbit does not separately issue invoices or tax statements on the Expert's behalf.
- Tax: Experts are responsible for their own tax position, including UK self-assessment (or local equivalent). Sorbit does not withhold tax or make National Insurance contributions on the Expert's behalf.
- Confidentiality: Chat content shown to Experts for review has been identity-stripped. Experts must not attempt to re-identify authors, must not share content outside the Service, and must not copy or retain content beyond the review task.
- Quality and calibration: Expert ratings are subject to calibration and quality review. Sorbit may restrict, suspend, or terminate Expert status where work falls below calibration thresholds or where §5 (Acceptable Use) or this Annex is breached.
- Accrued balance on termination: On termination of Expert status for reasons other than fraud or confidentiality breach, Sorbit will pay out any approved accrued balance on the next scheduled batch.
Annex F — Guest Checkout Purchasers
- Email required: A valid email address is required at checkout so that Sorbit can deliver the purchased course and send the receipt.
- Pending account: Guest purchases create an account in a pending state. The purchaser may claim the account by signing up with the same email.
- Consumer rights: Annex A (B2C) applies to Guest Purchasers for the course they have purchased.
8. Payouts, Tax, and Stripe Connect (Creators and Experts)
Creator and Expert earnings are paid via Stripe Connect Express. You are responsible for completing Stripe's onboarding (identity verification, tax residency, and bank details). Sorbit does not hold your bank details; Stripe does. You can open the Stripe dashboard from the Sorbit app to see your earnings history, tax documents, and payout schedule.
Sorbit does not withhold income tax or issue tax forms on your behalf, except where a Creator or Expert is based in a jurisdiction where Stripe is legally required to do so (and in that case the document comes from Stripe).
Payout batches are typically processed monthly at Sorbit's discretion. Sorbit reserves the right to adjust payout cadence, and to hold balances pending resolution of fraud, chargeback, or integrity investigations.
9. Account Suspension and Termination
- Sorbit may suspend or terminate your account for breach of these Terms, for non-payment, or following human review of integrity or content-moderation flags.
- For Creator accounts, suspension may include a hold on pending payout balance for the duration of an investigation.
- For Expert accounts, suspension may include withdrawal of access to in-flight tasks and a hold on unpaid earnings for the duration of an investigation.
- You may terminate your account at any time via Settings. See the Privacy Notice §8 for data-retention rules after termination.
10. AI Accuracy Disclaimer and Limitation of Liability
Content, scores, and analysis generated by Sorbit's AI are provided for informational and educational guidance only. They are not a substitute for formal education, assessment, or professional judgment, and may contain errors.
To the fullest extent permitted by law, Sorbit is not liable for educational outcomes, grading decisions, or disciplinary actions taken by third parties based on AI-generated data.
We do not exclude or limit our liability for:
- Death or personal injury caused by our negligence.
- Fraud or fraudulent misrepresentation.
- Any liability that cannot be excluded or limited under applicable law, including your non-excludable rights under the Consumer Rights Act 2015.
Subject to the above, Sorbit's total liability to you for all other claims arising out of or in connection with these Terms is limited to the total fees you have paid to Sorbit in the 12 months preceding the claim, or £100, whichever is greater.
11. General Provisions
- Governing law: These Terms are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction, subject to your non-excludable rights as a UK consumer.
- Changes to these Terms: We may change these Terms. For material changes we will give at least 30 days' notice by email or in-app notice. Continued use after the effective date constitutes acceptance.
- Severability: If any provision is held unenforceable, the remainder of the Terms continues in force.
- Entire agreement: These Terms, together with the Privacy Notice, Cookie Policy, and any signed Corporate or DPA contract, form the entire agreement between you and Sorbit.
